10-DEMURRAGE/DESPATCH: DEMURRAGE USD.9.500 PER DAY PER RATA/ DESPATCH
USD.4.7500 PER DAY PER RATA, DEMURRAGE/DESPATCH IF ANY AT L/PORT
SHOULD BE PAID WZ FRT.DEMURRAGE/DESPATCH IF ANY AT D/PORT SHOULD BE
SETTLED WITHIN 3 DAYS AFTER COMPLETE DISCHARGING;

11.-OPENING AND CLOSING HATCHES TO BE SHIP'S CREW AND AT OWNER'S
ACCOUNT BENDS EXCEPT PORT AUTHORITY PERMIT. DISCHG BALLASTING, NOT TO
COUNT AS LAYTIME.

12. (1).NOTICE OF READINESS TO BE TENDERED ALL TIME DAY AND NIGHT
SUNDAYS AND HOLIDAYS INCLUDED, UPON THE TIME VESSEL ARRIVAL AT PILOT
STATION.WETHER IN FREE PRATIQUE OR NOT, WHETHER IN BERTH OR NOT,
WHETHER IN PORT OR NOT, WHETHER CUSTOM CLEARED OR NOT.
2). LAYTIME IS NON-REVERSIBLE
TURN TIME: 24HOUR BOTH BENDS UNLESS SOONER COMMENCED, IN WHICH
CASE,ACTUAL TIME TO BE COUNTED.

(3). TIME FOR DRAFT SURVEY SHOULD NOT B COUNTED AS LAYTIME.
13. OWNER'S AGENT AT BOTH LOADING PORT AND DISCHARGING PORT

14. CARGO ONLY TO BE RELEASED AGAINST ORIGINAL B/L. IN THE EVENT OF
NON-PRESENTATION OF ORIGINAL BILL OF LADING AT DISCHARGE PORT OWING
TO THE DELAY OF BILL(S) SENDING,OWNERS WILL DISCHARGE THE ENTIRE CARGO
AGAINST THE LETTER OF INDEMNITY SINGED BY CHATTERERS OR CONSIGNEE IN
ACCORDANCE WITH OWNER'S P&I CLUB WORDING, THE BILL OF LOADING WILL BE
SENT TO OWNER OR OWNER'S AGENT WITHIN 12 DAYS AFTER COMPLETION OF
DISCHARGING.

15.-THE OWNER GUARANTEE VESSEL IS EQUIPPED WITH GOOD-CONDITION AND
SUFFICIENT FACILITIES INCLUDING CRANES&GRABS FULLY SUITABLE FOR
LOADING BULK CARGO IN HOLDS AND TO PROVIDE SUFFICIENT LIGHTS AS ON
BOARD FOR NIGHT WORKS AND FREE USE OF WHICH IN GOOD WORKING CONDITIONS
with the necessary motive power to work all gear simultaneously to
perform the shipments under this agreement. All the equipments list
above can be used to load the Nickel ores in 24 consecutive hours。

TIME LOST DUE TO VESSEL'S GEAR BREAKDOWN AND CRANE'S LIFTING CAPACITY
LOWER THAN DESCRIED SHOULD BE DEDUCTED FROM LAYTIME PER DAY PRORATA.

16.- VESSEL'S HOLDS ON ARRIVAL AT 1ST LPORT UNDER THIS CHARTER TO BE
CLEAN SWEPT/WASHED DOWN BY FRESH WATER AND DRIED UP, SO AS TO RECEIVE
CHARTERERS' INTENDED CARGOES IN ALL RESPECTS, FREE OF SALT, FREE OF
LOOSE RUST SCALE AND PREVIOUS CARGO RESIDUE, AND TO PASS THE HOLD
INSPECTION BY SHIPPER'S SURVEYOR. FAILING SUCH, FROM THE TIME OF
FAILURE TO THE TIME OF PASSING THE REINSPECTION SHOULD NOT COUNT AS
LAYTIME, IF LOADING OPERATION CAN CONTINUE IN SOME HOLDS, IN WHICH
CASE LAYTIME TO COUNT PRORATA TO NUMBER OF WORKABLE HOLDS.

17.-TAXES DUES CHARGES ON CARGO TO BE CHARTERERS ACCOUNTS, SAME ON
VESSEL/FREIGHT FOR OWNER'S ACCOUNT.

18.-OWNER/MASTER TO GIVE AGENTS AND CHARTERER VESSEL'S ETA NOTICE
5/3/2/1 DAYS BEFORE VSLS ARRIVAL AT LOADING PORT


19.-LIGHTERING/LIGHTERAGE IF ANY TO SUFFICE THE DRAFT LIMIT IN BOTH
LOADING AND DISCHARGE PORT, TO BE FOR CHTRS ACCOUNT AND ARRANGEMENT,
AND TIME FOR LIGHTERAGE/LIGHTENING SHOULD BE COUNTED AS LAYTIME.


20.The ship should leave the loading port within 12 hours and the Bill
of Lading should be issued and delivered to the shipper within 48
hours after finished loading.

21.-CARGO TO BE LOADED, STOWED,TRIMMED AND DISCHARGED IN ACCORDANCE
WITH LATEST IMO/IMDG CODE REGULATIONS AND RECOMMENDATIONS.

22.-G/A ARBITRATION IF ANY TO BE SETTLED IN HONGKONG WITH ENGLISH LAW TO APPLY.

23.-OTHERS AS PER GENCON CP94.

24.CHARTS/SHIPPERS GTEE THAT CARGO AND DOCS WILL BE READY AND VSL WILL
COMMENCE LDNG LATEST W/IN 48-HRS FROM VSL'S ARRIVAL AT LDNG PORT OR
ANCHORAGE. SHOULD CARGO OR DOCS NOT BE READY WITHIN 48-HRS, THEN
CHARTS WILL PAY DETENTION AT THE RATE OF USD12000 PER DAY/PRO RATA
EVERY 48-HRS IN ADVANCE OTHERWISE OWS HAVE THE RIGHT TO WITHDRAW THE
VSL AND SAIL AWAY WITHOUT FURTHER NOTIFICATION AND WITHHOLDING THE
ADVANCED FRT DEPOSIT AS BEEN EARNED WITHOUT PREJUDICE TO ANY OF THEIR
RIGHTS IN CLAIMING DAMAGES.


IF CHTS BE UNABLE TO LOAD CARGO WITHIN 3 DAYS AFTER VSL ARRL
LOADING PORT, OWR HAVE LIBERTY TO SAIL VSL WITH OR WITHOUT THE CARGO
ON BOARD WITHOUT ANY COMPENSATION TO CHTR AND OWR NO NEED TO REFUND
DEPOSIT TO CHTR.

25.-THE ABOVE CONTRACT WILL BE SIGNED BY FAX/SCAN EMAIL AND HAS THE
SAME FORCE AND EFFECT AS ORIGINAL CONTRACT.
